What the company must decide, file and maintain

Oman separates commercial registration, foreign-investment licensing, premises or zone approval, tax registration, Bayan Customs access and labour clearance. The Oman Business Platform/Gov.om route should be read together with activity-specific, import and Omanisation requirements.

Decision 01

Confirm the activity and ownership route first

What to establish

Map the activity, legal form, foreign ownership and any restricted or regulated perimeter before commercial registration.

Why it changes the outcome

The commercial record and investment licence do not override activity-specific approvals or restricted activities.

Gov.om starting a business

Decision 02

Prepare the investment-licence evidence after CR

What to establish

Assemble the passport, feasibility study, experience evidence, recent bank statement and lease for the official investment-licence service.

Why it changes the outcome

Gov.om describes the investment licence as a post-commercial-registration step and states a two-year validity.

Gov.om investment licence

Decision 03

Treat premises and zone licences separately

What to establish

Identify municipal, industrial-estate, Civil Defence, environmental, health and safety approvals for the selected site.

Why it changes the outcome

An industrial or zone operation can require lease, completion, insurance, signage and inspection evidence beyond the company record.

Gov.om activity licence

Decision 04

Register for income tax promptly

What to establish

Create the Tax Authority registration and accounting controls immediately after activity or registration.

Why it changes the outcome

The official portal requires income-tax registration within 60 days, creating an early post-establishment deadline.

Oman Tax Authority

Decision 05

Monitor VAT on a rolling basis

What to establish

Track taxable supplies against mandatory and voluntary registration thresholds and classify imports and exemptions.

Why it changes the outcome

The official portal states OMR 38,500 mandatory and OMR 19,250 voluntary registration thresholds.

Oman Tax Authority

Decision 06

Test non-resident VAT separately

What to establish

Determine whether a non-resident supplier is making an Omani taxable supply for which the customer must self-account under the reverse-charge mechanism.

Why it changes the outcome

The Tax Authority states that the OMR 38,500 threshold does not protect a non-resident supplier that must collect Omani VAT. Registration can apply from the first qualifying supply, while a supply fully accounted for by an Omani taxable customer can produce a different result.

Oman Tax Authority non-resident guide

Decision 07

Activate Bayan before commercial import

What to establish

Register the company through the Bayan electronic single window using an authorised person shown in the commercial-registration records, then assign only the users and permissions required for declarations and permits.

Why it changes the outcome

Oman Customs approval is separate from the company record. The official route requires the commercial registration, Chamber registration, authorised-signatory signature and a signed company request; a declaration then requires Bayan access and the shipment evidence or permit applicable to the goods.

Oman Customs Bayan registration

Decision 08

Build the workforce against labour clearance and Omanisation

What to establish

Confirm the establishment records, profession, activity documents, Omanisation position and any technical authority approval before requesting a work permit.

Why it changes the outcome

Gov.om conditions the initial work-permit approval on valid commercial, affiliation and tax records and profession-specific evidence.

Corporate tax, VAT and transaction controls

  • The Oman Tax Authority states a standard 15% income-tax rate on net taxable income for commercial companies, with separate conditions for qualifying small enterprises and special sectors.
  • The standard VAT rate is 5%, with zero-rated and exempt supplies defined by law.
  • Mandatory VAT registration applies when annual taxable supplies reach or are expected to reach OMR 38,500. The official portal states that voluntary registration is available from OMR 19,250; eligibility, transaction classification and the benefit of input-tax recovery still require a company-specific test.
  • The Tax Authority states a 10% withholding tax on the gross amount of specified Oman-source payments credited or paid to a foreign person without a permanent establishment, including royalties, research and development, software-use rights, management fees, dividends, interest and services. The payer must remit it no later than the fourteenth day following the end of the payment or credit month; treaty, recipient and payment-category analysis remains necessary.
  • Oman has enacted a personal income-tax framework scheduled to take effect in 2028 for specified taxable income and thresholds. It is not an operating 2026 payroll assumption.
  • Until implementation, business income, withholding, social protection and home-country taxation still require separate analysis; recheck the Tax Authority before any long-term remuneration decision.

Investment, licensing and operating permissions

  • Foreign-capital companies obtain the investment licence after commercial registration under the official service sequence.
  • Gov.om publishes an OMR 0.900 issuance fee and two-year validity for the investment licence. That narrow administrative charge is not the total cost of incorporation, premises, external approvals, tax, labour, visas or operation.
  • Tourism, health, industrial, environmental and other activities require competent-authority permission.
  • OPAZ projects have their own land, zone, licence, investment and operating conditions.
  • Create the commercial registration first, then obtain the investment licence where the Foreign Capital Investment Law applies.
  • The official investment-licence service currently lists passport evidence, feasibility study, experience, a bank statement covering at least three months and a lease contract among its required documents.
  • Record the activity, implementation timetable and project feasibility information in the official service and follow the activity-specific approval request.
  • Municipal, zone, environmental, industrial, professional and product permissions remain separate from company registration.
  • Confirm tax, beneficial ownership, banking, customs and in-country-value obligations before operations begin.

Employment and work-permit controls

  • Omanisation requirements and restricted professions vary by activity and policy update.
  • The Ministry of Labour service updated on 19 August 2026 publishes profession-category permit fees of OMR 300, OMR 250 and OMR 200, plus the OMR 1 basic work-permit charge and a Job Security Fund charge equal to 5% of the work-permit fee. These are not the visa, residence, recruitment, medical, insurance or total employment cost.
  • Investor and employee visas follow the licensed entity, role and labour clearance.
  • The workforce plan must include local recruitment, training and in-country-value commitments where relevant.
  • Use the Ministry of Labour service for the initial work-permit approval; required evidence varies by activity, profession and employer status.
  • The official service checks the commercial registration and may require professional-authority approvals or premises evidence for the selected activity.
  • After labour approval, complete the connected Royal Oman Police visa and residence process applicable to the person and role.
  • Omanisation and restricted-profession requirements can change the approval, timing and cost.
  • Verify renewal, transfer, secondment and cancellation before mobilising or moving personnel.

Customs and tenders

From incorporation to executable trade

The company route is incomplete until import, product and buyer qualification are tested against the actual transaction.

Customs and product-entry controls

Oman uses Bayan for customs declarations and connected permits. The importer must classify goods, attach the required invoice, origin and export-country evidence, obtain permits for restricted goods and pay applicable taxes before release.

  • Select the relevant port, zone and mainland goods flow.
  • Search Bayan/Oman Customs requirements for the product and HS classification.
  • Confirm importer, broker and permit responsibilities.
  • Prepare invoice, origin and declaration evidence and obtain competent-authority permits.
  • Use advance classification or valuation routes where uncertainty can materially change cost.

Public procurement and supplier qualification

Oman public tendering, state companies and major industrial or energy projects use distinct supplier routes. In-country value, technical qualification and project maturity must be checked against the actual buyer and procurement stage.

  • Identify ministry, state enterprise, concession holder or prime contractor.
  • Check the official e-tender route and buyer-owned vendor portal.
  • Document commercial registration, tax, classification, references and bond capacity.
  • Map Omanisation and in-country-value requirements to the exact opportunity.
  • Separate policy target, concession, tender, award, construction and operating procurement.
