What the company must decide, file and maintain

Qatar permits up to 100% foreign ownership in many activities, but the result is not automatic. The activity must fall within the permitted framework and complete the Ministry of Commerce and Industry approval, registration, licensing, tax and import-control sequence.

Decision 01

Test the activity against the foreign-investment perimeter

What to establish

Confirm that the activity is eligible under Law No. 1 of 2019 and not within banking, insurance, commercial agencies or another excluded category unless separately authorised.

Why it changes the outcome

The headline 100% ownership proposition does not override excluded activities or sector approvals.

MOCI investment steps

Decision 02

Use Single Window as the filing spine

What to establish

Prepare the ownership, incorporation and activity evidence for the official Single Window and Invest in Qatar Center review.

Why it changes the outcome

Approval, commercial registration and commercial licensing are linked but distinct stages.

MOCI investment steps

Decision 03

Distinguish the commercial register from the premises licence

What to establish

Do not begin operating solely because the entity appears on the commercial register; complete the commercial licence and external approvals.

Why it changes the outcome

Premises, signage, safety and sector requirements can delay lawful operation after incorporation.

Qatar Single Window

Decision 04

Fix the tax and ownership analysis before distributions

What to establish

Map Qatar-source income, ownership, exemptions, withholding and treaty claims before signing intercompany or shareholder arrangements.

Why it changes the outcome

The standard income-tax rate does not answer withholding, permanent-establishment or treaty questions.

General Tax Authority

Decision 05

Build Dhareeba into the close process

What to establish

Register and maintain the taxpayer record in Dhareeba, map each Qatar-source contract and payment to the applicable return or withholding control, and set the annual return timetable from the actual tax year.

Why it changes the outcome

The General Tax Authority states that taxpayers submit income-tax returns through Dhareeba within four months after the end of the tax year. A commercial registration, exemption status or Qatari or GCC ownership does not by itself remove the filing analysis.

General Tax Authority tax information

Decision 06

Prepare the customs code and shipment evidence before importing

What to establish

Confirm the importer-of-record, obtain the customs code against evidence of the importer activity and prepare the commercial invoice, certificate of origin, delivery order or bill of lading, manifest and item-level packing list with HS codes where required.

Why it changes the outcome

The General Authority of Customs requires restricted-goods approvals and permits before release and may request Arabic translations and original documents. Commercial registration does not guarantee release of a regulated shipment.

Qatar Customs importation guide

Decision 07

Build work permits from the employer file

What to establish

Prepare establishment, worker, passport, qualification, salary and profession evidence before labour filing.

Why it changes the outcome

Job title, certified qualification and residence status can determine the required permit route and attachments.

Detailed requirements by administrative gate

This guide is decision support, not legal, tax or immigration advice. Requirements can change and depend on the exact activity, ownership, customer and jurisdiction. Recheck the linked official service before filing or committing funds.

1

Select the competent route and confirm foreign ownership

Determine whether the activity belongs in the MOCI/Single Window system, Qatar Financial Centre or Qatar Free Zones and confirm the ownership basis before incorporation.

Qatar Ministry of Commerce and Industry (MOCI) or the selected specialist authority

+

Before you start

  • Define the exact activity, customers, location and regulated perimeter.
  • Check the current non-Qatari investment activity guide and the exclusions for banks, insurance and commercial agencies.
  • Compare the legal, tax, premises and customer-access rules of MOCI, QFC and QFZ.

Documents and requirements

  • Proposed activity codes, legal form and foreign-ownership rationale.
  • Shareholder, manager, beneficial-owner and authorised-signatory information.
  • Foreign corporate and identity records in the authentication and translation form requested by the selected authority.
  • Sector-regulator pre-approval where the activity is controlled.

Actions

  • Screen the activity against the official non-Qatari investment list.
  • Obtain route confirmation from MOCI, QFC or QFZ.
  • Record all ownership, premises, capital and external-approval conditions before filing.

Expected output

A defensible route decision and a complete application checklist for the competent licensing authority.

Recheck before filing

“Up to 100% foreign ownership” applies only to permitted activities and conditions; it is not a universal entitlement.

Complete tax registration and transaction controls

Classify Qatar-source income and activate the appropriate tax, withholding, accounting and filing controls.

General Tax Authority (GTA), or QFC Tax where applicable

+

Before you start

  • Map ownership, permanent establishment, source of income and payment flows.

  • Contracts, expected revenues, related parties and cross-border payment data.
  • Any incentive or exemption approval relied upon.

  • Create return, payment, retention and transfer-pricing controls.

Expected output

A registered and documented tax position with a controlled filing calendar.

Corporate tax, VAT and transaction controls

  • The General Tax Authority investor guide states that the foreign partner is generally subject to 10% income tax on its share of net profit, subject to the exact structure, exemptions and special regimes.
  • Strategic projects and designated routes can have incentives, but eligibility must be confirmed before it is included in the business case.
  • Withholding, customs, permanent-establishment and treaty questions require transaction and entity review.
  • For fiscal years beginning on or after 1 January 2025, Qatar applies an Income Inclusion Rule and Domestic Minimum Top-up Tax at a 15% minimum to in-scope multinational groups whose consolidated revenue reaches at least EUR 750 million in at least two of the four preceding tested fiscal years.
  • The global and domestic minimum tax applies in addition to the existing income-tax framework, not in place of it. Group scope, constituent entities, safe harbours, registration and filing duties therefore require a separate Pillar Two assessment.
  • The Qatar General Tax Authority investor material is the controlling starting point for Qatar-source income and business taxation; salary, investment and business income must be classified separately.
  • The published 10% business-income headline must not be applied automatically to an individual, employee, QFC entity or exempt activity. Confirm taxpayer status and regime with the competent authority.

Investment, licensing and operating permissions

  • Commercial registration, trade licence and regulated-activity approval are distinct items.
  • The official list of activities available to non-Qatari capital is the first ownership screen.
  • QFC and free-zone permissions apply only within their own legal and activity frameworks.
  • MOCI requires a beneficial-owner declaration with licence, commercial-registration, amendment and renewal applications; the register copy must be submitted within 10 days and retained for at least 10 years after dissolution.
  • MOCI states that the Invest in Qatar Center itself charges no fee; fees arise after investment approval and through the commercial-registration and connected service process.
  • Check the exact activity against the current non-Qatari investment rules before selecting MOCI, Qatar Financial Centre or Qatar Free Zones.
  • Use the MOCI procedures and Single Window route for name, incorporation, commercial registration and activity licensing where MOCI is competent.
  • Commercial registration, trade licence and sector approval remain separate gates; documents issued abroad may require authentication and Arabic translation.
  • A foreign-company branch, representative office and 100% foreign-capital company have different eligibility and documentary requirements.
  • Confirm premises, chamber, beneficial-owner, tax, import and buyer/vendor registrations before operations begin.
  • Identify the natural person who directly or indirectly controls at least 20% of capital or voting rights, or otherwise exercises effective or legal control; document the legal-representative fallback when the ownership and control tests do not identify a person.
  • Designate at least one natural person residing in Qatar to provide mandatory company-record information, while preserving the manager or chair responsibility stated by MOCI.

Employment and work-permit controls

  • Immigration and employment files follow establishment and licensed premises.
  • Qatarisation, professional recognition and sector staffing rules depend on the activity and employer.
  • Residence status does not itself authorise a regulated professional or commercial activity.
  • The licensed employer must establish the competent labour and immigration records before requesting work authorisation for personnel.
  • Use the Ministry of Labour and Ministry of Interior service routes for current approvals, profession controls and residence steps.
  • Employer, employee and authorised-signatory documents vary with legal form, profession and nationality and must be checked in the live official service.
  • Do not infer permission to work from shareholder, visitor or residence status.
  • Confirm renewal, transfer, cancellation, medical and identity-card requirements before mobilising staff.

From incorporation to executable trade

The company route is incomplete until import, product and buyer qualification are tested against the actual transaction.

Customs and product-entry controls

Qatar import access depends on the resident importer, customs registration, HS classification, supporting documents and product approvals. Free-zone admission and mainland sale are separate operating questions.

  • Confirm importer status and the intended mainland or free-zone goods flow.
  • Classify the product and check tariff, restriction and exemption status.
  • Obtain origin, invoice, transport and regulated-product documentation.
  • Use the competent customs and sector system before shipment.
  • Cost port, broker, inspection, storage, inland delivery and delay exposure.

Public procurement and supplier qualification

Qatar demand is concentrated, so the correct ministry, state company or institutional vendor route matters more than broad lead volume. Public tender registration and buyer-specific qualification remain distinct.

  • Name the buying institution and budget owner.
  • Check the competent tender and supplier portal.
  • Obtain commercial, tax, classification, technical and bank documents required for registration.
  • Separate public tender eligibility from QatarEnergy, healthcare, aviation or other buyer-specific qualification.
  • Record sponsor, funding, project stage and next procurement milestone.
