How to do business in Saudi Arabia

Direct answer

A foreign investor normally starts by classifying the exact activity and confirming the Ministry of Investment route, then incorporates through the Ministry of Commerce and Saudi Business Center ecosystem. Commercial registration, municipal permissions, regulated-sector approvals, tax registration and employment permissions are separate gates.

What the company must decide, file and maintain

The Saudi route is activity-led. Investment registration, incorporation, the commercial register, the operational licence and Fasah Customs activation are separate controls; completing one does not remove the others.

Decision 01

Classify the activity before filing

What to establish

Map every revenue-generating activity to the current ISIC4 classification and check whether MISA treats it as available or restricted and lists an activity-specific condition or external approval.

Why it changes the outcome

A registration that omits the real activity can leave the company unable to invoice, obtain a municipal licence or hire for the intended operation.

MISA 2026 Investor Guide

Decision 02

Choose the legal vehicle against the operating model

What to establish

Compare a Saudi company, a foreign-company branch and any professional-company route against contracting, governance, liability and licence requirements.

Why it changes the outcome

The Ministry of Commerce applies different establishment evidence and fees by legal form. Professional companies also have profession-specific ownership and licensing conditions.

Ministry of Commerce

Decision 03

Prepare authenticated foreign evidence

What to establish

For the standard investment-registration route, prepare the foreign commercial register and the latest fiscal-year financial statements in the authentication form required by MISA.

Why it changes the outcome

MISA identifies these as core evidence, subject to Premium Residency and other stated exemptions and activity-specific additions. Missing authentication prevents a complete filing.

MISA 2026 Investor Guide

Decision 04

Keep the investment certificate valid through incorporation

What to establish

Sequence the Ministry of Commerce filing while the investment certificate has sufficient remaining validity.

Why it changes the outcome

The Ministry of Commerce service currently requires a valid investment certificate with at least 30 days remaining.

Ministry of Commerce

Decision 05

Separate corporate registration from operating permission

What to establish

List municipal, professional, industrial, health, tourism, product-conformity and sector approvals that apply to the premises and activity.

Why it changes the outcome

A commercial register records the entity; it does not by itself authorise every regulated activity or site.

Saudi Business Center

Decision 06

Model tax and employment before pricing

What to establish

Determine the income-tax or zakat base, VAT registration, withholding, transfer-pricing and customs exposure, then test the workforce plan against current localisation controls.

Why it changes the outcome

Ownership, payment flows, imports and profession mix can materially alter margin, cash flow and the ability to staff the operation.

ZATCA

Decision 07

Activate the importer before the first shipment

What to establish

Register the company as an importer or exporter on Fasah using the commercial-registration number, then decide whether the company or an authorised customs broker will submit the declaration.

Why it changes the outcome

A commercial register does not itself create an active Customs account. ZATCA separates importer registration, broker authorisation and the customs declaration, and the broker authorisation can be limited by port, direction, duration and number of uses.

ZATCA Customs Journey

Decision 08

Classify the goods before contracting delivery

What to establish

Identify the tariff code, prohibited or restricted status, product registration and conformity evidence for each imported product before confirming Incoterms, importer of record and delivery date.

Why it changes the outcome

ZATCA requires the commercial shipment documents plus every approval that follows from the nature of the goods. IECEE certification or registration with another competent authority can therefore become a pre-shipment dependency rather than a post-arrival formality.

3

Operational licensing

  • Accounting period and chart of accounts
  • Expected taxable supplies and imports
  • Banking and authorised-signatory records

Qualification: VAT, income tax, zakat, withholding and transfer pricing must be classified separately.

Detailed requirements by administrative gate

This guide is decision support, not legal, tax or immigration advice. Requirements can change and depend on the exact activity, ownership, customer and jurisdiction. Recheck the linked official service before filing or committing funds.

1

Classify the activity and complete MISA investor registration

Confirm that the proposed ISIC4 activity is open to investment and obtain the registration required for a foreign investor before commercial registration.

Ministry of Investment of Saudi Arabia (MISA)

+

Before you start

  • Fix the exact activity or activities, ownership chain and intended Saudi customers.
  • Check the activity-specific conditions and excluded or regulated activities in the current Investor Guide.
  • Identify the foreign entity, authorised representative and beneficial owners that will appear in the application.

Documents and requirements

  • Foreign participant commercial registration authenticated through the applicable Saudi mission route.
  • Latest fiscal-year financial statements of the foreign applicant, authenticated where required.
  • Identity evidence for any GCC natural-person partner whose information is not available through Absher.
  • Activity-specific evidence, declarations and approvals shown by MISA for the selected registration category. Premium Residency exemptions must be confirmed in the live service.

Actions

  • Create the investor account and choose New Investor Registration.
  • Enter the investor, ownership, activity and contact-officer information; upload the required authenticated records.
  • Respond to requests for clarification and pay the registration fee within the period stated in the approval notice.

Expected output

Investment-registration confirmation for the approved activities. It permits the incorporation sequence to continue; it is not the commercial registration or the operating licence.

Recheck before filing

MISA states a 10-working-day estimate for a complete application. Requirements and capital or experience conditions vary by activity and must be rechecked on filing day.

2

Incorporate the entity and obtain the commercial registration

Create the Saudi legal entity with constitutional documents aligned to the activities approved for the investor.

Ministry of Commerce and Saudi Business Center

+

Before you start

  • Have the MISA registration where the foreign-investor route requires it.
  • Choose the permitted legal form, partners, manager, capital and fiscal year.
  • Prepare powers of attorney and foreign corporate documents in the form accepted by the live service.

Documents and requirements

  • Approved trade name and activity selection.
  • Partner, manager, address and beneficial-ownership information.
  • Articles or constitutional documents and authorised-signatory evidence.
  • Investment-registration reference and any activity regulator approval requested by the incorporation service.

Actions

  • Reserve or validate the trade name.
  • Complete the foreign-company establishment workflow and approve the articles electronically.
  • Pay the published service and chamber fees and retrieve the commercial registration and constitutional records.

Expected output

Saudi legal entity and commercial registration for the stated activities. Operating remains conditional on every municipal, premises and sector licence.

Recheck before filing

The entity form, activity code and MISA scope must match. Do not sign leases, hire or invoice solely because the commercial registration has issued.

3

Obtain premises, municipal and sector operating permissions

Turn the incorporated company into a business legally authorised to perform the exact activity at the selected location.

Balady and the competent activity regulator

+

Before you start

  • Map every activity to its regulator, premises standard and product or professional approval.
  • Confirm that the lease, zoning and building use support the activity.
  • Determine whether industrial, health, tourism, food, transport, communications, professional or environmental approval applies.

Documents and requirements

  • Valid commercial registration and authorised applicant.
  • Registered address, lease or title and premises evidence required by the municipality.
  • Civil Defence, environmental, product-conformity, professional or sector documents where triggered.
  • Technical plans, responsible manager qualifications and inspections where required by the live service.

Actions

  • Apply for the municipal commercial licence in Balady.
  • Submit each external regulator application separately and complete inspections.
  • Register products, importers, facilities or vendors where the activity or buyer requires it.

Expected output

The activity-specific licence set permitting operations from the approved premises, subject to its conditions and renewal dates.

Recheck before filing

Commercial registration and MISA registration never replace these operating permissions. The exact list is generated by activity and location.

Register tax accounts and establish filing controls

Activate the company tax profile and determine income tax, zakat, VAT, withholding, customs and transfer-pricing obligations before transactions begin.

Zakat, Tax and Customs Authority (ZATCA)

+

Before you start

  • Document legal ownership, tax residence, projected revenue, imports and payments to non-residents.
  • Separate the income-tax base attributable to non-Saudi ownership from any zakat base.
  • Map supply chains and contracts for VAT, customs and withholding-tax treatment.

Documents and requirements

  • Commercial and investment registration details, constitutional records, address and authorised contact.
  • Ownership and beneficial-owner records plus financial-year and accounting information.
  • Turnover forecast and taxable-supply/import analysis for VAT registration.
  • Contracts and related-party data for withholding and transfer-pricing classification.

Actions

  • Complete the corporate income-tax or zakat registration applicable to the ownership profile.
  • Register for VAT when required and configure compliant invoices and records.
  • Create the filing calendar for returns, withholding, customs and annual financial statements.

Expected output

Active tax registrations, a documented tax classification and a controlled compliance calendar.

Recheck before filing

20% income tax and 15% VAT are headline rates, not a complete tax conclusion. Sector, ownership, source of payment and treaty position can change the result.

5

Activate employer, social-insurance and work-authorisation files

Create the employer records needed to hire and sponsor personnel under the approved activity and current localisation rules.

Ministry of Human Resources and Social Development, Qiwa and GOSI

+

Before you start

  • Build a role-by-role workforce plan with Saudi nationalisation and restricted-profession checks.
  • Confirm that the licensed entity, establishment and manager records are active.
  • Separate investor residence, employee work permission and regulated-profession recognition.

Documents and requirements

  • Company and establishment records, national address and authorised representative.
  • Employee identity, qualifications, profession and contract information.
  • Workforce quota and profession eligibility under the live Qiwa classification.
  • Social-insurance and immigration evidence required at the connected stage.

Actions

  • Open and validate the employer file and workforce classification.
  • Issue and document employment contracts and request the correct work-authorisation route.
  • Complete GOSI registration and the connected immigration, medical, identity, renewal and cancellation steps.

Expected output

A compliant employer file and employee-by-employee work and residence record; neither an investor registration nor a visa alone creates permission to work.

Recheck before filing

Localisation bands, restricted professions, fees and documentary requirements change. Verify them in Qiwa before each hire.

Corporate tax, VAT and transaction controls

  • ZATCA states a 20% income-tax rate for the standard tax base of resident capital companies subject to income tax, non-Saudi residents carrying on business and non-residents operating through a permanent establishment. Ownership mix and sector can change the treatment.
  • The standard VAT rate is 15% where applicable. Registration, place-of-supply, imports and exemptions require transaction-level review.
  • Withholding tax, customs, transfer pricing, zakat and treaty relief must be checked against ownership, payment type and operating model.
  • Saudi income-tax rules apply to specified non-Saudi ownership, business activity, permanent establishments and Saudi-source income; employment, investment and business income must not be treated as one category.
  • A founder carrying on an economic activity may also have VAT obligations when the official registration thresholds are met. Obtain a ZATCA or qualified tax determination for the actual facts.

Investment, licensing and operating permissions

  • An investment approval and a commercial registration do not replace the licence for the actual activity.
  • Municipal, professional, financial, health, industrial, tourism, food, environmental or product approvals may apply.
  • A distributor or agent must be checked for the correct activity, registrations, coverage and contractual authority.
  • MISA’s current terms require the notified registration or annual-update charge to be paid within 15 working days or the registration is treated as void; the amount is determined on approval rather than assumed from an indicative setup budget.
  • Post-registration records, licences and competent-authority approvals must be completed within six months of registration approval under the current MISA terms. The six-month period is a compliance limit, not a promise that every business can begin operating within that time.
  • Classify the exact activity before selecting the foreign-investment route; activity scope controls ownership, documents and external approvals.
  • Use the Ministry of Investment investor guide and service route for the current investment-registration or approval requirement.
  • Complete incorporation and commercial registration through the Ministry of Commerce and Saudi Business Center after the investment gate that applies to the activity.
  • Treat municipal, premises, industrial, professional, product and sector approvals as separate permissions; commercial registration alone does not authorise operations.
  • Confirm beneficial ownership, banking, tax, accounting and continuing filing obligations before issuing invoices or hiring.

Employment and work-permit controls

  • The workforce plan must include current nationalisation requirements and profession-specific restrictions.
  • Investor, manager and employee immigration routes depend on the approved entity and role.
  • Payroll, social insurance, employment contracts and data handling require local operating controls.
  • The employing entity must have the appropriate labour and establishment records before it can sponsor or request employment permissions.
  • Use Qiwa for the current employer-side labour and work-authorisation workflow; profession, contract and nationalisation controls must be checked in the live service.
  • Complete the connected social-insurance and immigration steps through the competent official systems after labour approval.
  • Do not treat an investor or residence status as permission to perform a regulated profession or work for another entity.
  • Verify transfer, renewal, cancellation and exit requirements against the employee, profession and sponsor before action.

Customs and tenders

From incorporation to executable trade

The company route is incomplete until import, product and buyer qualification are tested against the actual transaction.

Customs and product-entry controls

Saudi import readiness begins with the product and the resident importer. HS classification, tariff and tax treatment, restricted-product approvals, conformity and Arabic labelling must be resolved before shipment. ZATCA states that the declaration and supporting documents can be submitted through Fasah before arrival.

  • Classify every product under the current Saudi tariff and identify duty, VAT, excise and restriction status.
  • Confirm the Saudi importer of record, commercial registration scope and Fasah access.
  • Check SASO/Saber, IECEE and the competent sector regulator for product-specific conformity or registration.
  • Prepare commercial invoice, bill of lading, origin evidence and any product permits before dispatch.
  • Cost duty, import VAT, conformity, broker, port, inland delivery, insurance and delay exposure as one landed-cost case.

Public procurement and supplier qualification

Government procurement, national champions and large project owners use different supplier and prequalification systems. Etimad is a central government route, but registration there does not replace buyer-specific vendor qualification, technical approval or local-content requirements.

  • Identify the contracting authority or prime contractor before treating an opportunity as addressable.
  • Check Etimad and the buyer-owned vendor portal for registration, classification and tender notices.
  • Document technical references, local delivery, warranty, financial capacity and required bonds.
  • Test local-content and workforce obligations against the exact tender and buyer.
  • Record opportunity stage as signal, budget, prequalification, tender, award or operating procurement.
